Terms of Service

Please read these Terms of Service ("Terms") carefully before using app.ritual.work and related services operated by Ritual Mobile, Inc. ("Ritual", "we", "us", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have permission to access the Service.

1. Definitions

For purposes of these Terms:

• "Service" means Ritual's online software-as-a-service platform for exploration and decision-making, including all related APIs, mobile and desktop applications, and AI-powered features.
• "User Content" means any content, data, or materials that you create, upload, submit, or provide through the Service, including questions, answers, explorations, documents, and recommendations.
• "Workspace" means a collaborative environment within the Service where users can create and manage explorations.
• "Organization" means a business, company, or other legal entity that uses the Service under a team or enterprise subscription.

2. Accounts and Access

Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Age Requirements

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

Organization Accounts

If you create an account using an email address provided by your Organization, that Organization may have rights to access, control, or terminate your account and access your User Content. By using an Organization email, you acknowledge and agree that your Organization may manage your Workspace and User Content.

3. Content and Intellectual Property

Your Content Ownership

We do not claim ownership rights in any User Content you create or upload to the Service. You retain all rights to your User Content. However, by making User Content available through the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display your User Content solely to provide and improve the Service.

Organization Content

If you create content within an Organization Workspace, that Organization may own or have rights to such content as determined by your agreement with the Organization. You agree that Organization administrators may access, modify, or delete such content.

Ritual's Intellectual Property

The Service and its original content, features, functionality, and AI models are and will remain the exclusive property of Ritual Mobile, Inc. and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

4. AI-Powered Features

AI Assistance

The Service includes AI-powered features to assist with generating questions, analyzing answers, creating recommendations, and producing documents. These features are designed to augment human decision-making, not replace it.

AI Output

AI-generated content is provided as suggestions and recommendations. You are solely responsible for reviewing, validating, and determining how to use any AI-generated output. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

Training and Improvement

We may use aggregated, de-identified data to improve our AI models and Service. We do not use your specific User Content to train AI models that serve other customers. Organization customers can opt out of having their data used for model improvement.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely represent your affiliation
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use any automated means to access the Service for any purpose without our permission
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Remove, alter, or obscure any proprietary notices on the Service

6. Subscriptions and Payment

Subscription Plans

Parts of the Service are available on a paid subscription basis. Current subscription plans and pricing are available at ritual.work/pricing.

Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all fees incurred through your account.

Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel your subscription through your account settings or by contacting support@ritual.work.

Refunds

Subscription fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

7. Data Privacy and Security

Data Protection

We take data security seriously and implement industry-standard measures to protect your information. All data is encrypted in transit (TLS 1.2+) and at rest (AES-256). For detailed information about how we collect, use, and protect your data, please review our Privacy Policy.

Security Features

We provide enterprise-grade security features including:

• Multi-factor authentication (MFA)
• SAML Single Sign-On (SSO) for Business and Enterprise plans
• Granular permission management
• Audit logs for workspace owners
• Domain management for Organization administrators

8. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination, your User Content will become inaccessible immediately and will be permanently deleted after 30 days.

Termination by Us

We may suspend or terminate your account immediately if you breach these Terms or engage in conduct that we determine is harmful to other users, us, or third parties.

9. Disclaimers and Limitations of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI Disclaimer

WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. YOU ACKNOWLEDGE THAT AI OUTPUTS ARE SUGGESTIONS ONLY AND SHOULD NOT BE RELIED UPON WITHOUT HUMAN REVIEW AND VALIDATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RITUAL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ritual and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

11. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in San Francisco, California, or remotely via video conference.

Class Action Waiver

YOU AND RITUAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

13. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Ritual regarding the Service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
